RELEVANT EXPERIENCE

Prior to joining the firm, Ray was a partner in the Business & Real Estate Taxation and Corporate/Business practice areas at Meltzer Lippe. Before that, he was a sole practitioner practicing tax, trusts & estates, and corporate law. He practiced tax law in the New York City office of Latham & Watkins LLP and the New York City and London offices of Davis Polk & Wardwell LLP. Ray also worked in the Tax Counsel Group of Morgan Stanley where he provided tax advice to a wide range of business units, including the principal investments, capital markets, investment banking, bank resource management (securities lending and repurchase transactions), securitized products, and wealth management groups.

  • Represented underwriters in China Merchants Bank $2.4 billion IPO

  • Represented Morgan Stanley in its Section 355 spinoff of Discover Financial Services
  • Represented Campbell Soup in its $850 million sale of Godiva Chocolate to Yildiz
  • Represented BMG in the breakup of SONY/BMG joint venture
  • Represented Morgan Stanley in its IPO of MSCI (then a subsidiary)
  • Represented Pepsi in its $6 billion purchase of two main bottlers
  • Represented Artio Global in its $650 million IPO (then a subsidiary of Julius Baer)
  • Represented Rolta in its $200 million debt exchange
  • Represented a Hedge Fund in its Stock Loan/871(m) appeal in front of the IRS
  • Represented underwriters in Softbank’s $8.9 billion offering of Alibaba mandatory exchangeables
